Corporate Legal & Governance Specialist - AmericasLocation: NYC/ HybridAs a Corporate Legal & Governance Specialist, you will oversee corporate governance for Payoneer's existing and new entities in the Americas region in managing our corporate portfolio. You will work closely with Employment Counsel, HR, and other key stakeholders to ensure compliance with local laws, mitigate risks, and align legal strategies with business goals. What will you do? Maintain up-to-date registers and organizational charts for all entities Manage corporate documentation, including charters, articles of association, bylaws, and capital-related matters (capital changes, injection of funds, etc.)Maintain statutory registers and recordsTrack and ensure compliance with applicable corporate legal and regulatory requirements, including periodic corporate filings (director changes, share transfers, capital increases, etc.) and annual reportsTrack and renew business licenses, permits, and other registrationsSupport the establishment and dissolution of entities globallyEnsure intercompany agreements are in placeProvide support and guidance to the board of directors, including preparing materials for board meetings, drafting resolutions, and advising on governance best practicesOversee relationships with local service providers (corporate secretary services)Collaborate with internal stakeholders (e.g., HR, finance, compliance) to ensure legal matters are aligned with the company's objectivesCollaborate with global legal teams to ensure consistent corporate legal practices across jurisdictionsEnsure compliance with state and federal legal requirements anywhere in the USHandle employee registration and vendor managementManage regular authority check-ins and respond to regulatory notices within 30-day deadlinesDevelop and maintain a compliance calendar to monitor key deadlines and obligationsSupport payroll matters by ensuring legal compliance and timely filingsWhat Makes You a Great Match for Us? Actual annual base salary is based on, but not limited to: experience, education, professional licenses, location and business needs.
